1. Acceptance of Terms
By accessing or using Effitrio ("we," "our," "us," or "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not access or use the Service.
These Terms apply to everyone who uses Effitrio — including visitors who use public tools without an account (for example the ZUGFeRD e-invoice generator) and registered users with an Effitrio account. Creating an account unlocks additional features (such as saved clients, invoice history, and email sending). If you use Effitrio on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
For EU/EEA consumers: Mandatory consumer protection rights under your local law, EU Directive 2019/770 (Digital Content and Services), and the EU Consumer Rights Directive apply and are not overridden by these Terms. Where any clause in these Terms conflicts with applicable EU consumer protection law, EU law prevails.
2. Service Description
Effitrio is an AI-powered ERP mini tool suite that enables businesses to manage invoices, expenses, projects, and customer relationships. The Service includes free public tools (no account required) and account-based features when you register. The Service provides:
- Public tools: Free utilities such as ZUGFeRD e-invoice generation (and other tools we may offer without sign-in), subject to the processing described in our Privacy Policy
- Invoice Management (account): Create, customise, send, and manage professional invoices with payment tracking and history
- Expense Tracking: Log and categorise expenses with receipt uploads and reporting
- Project Management: Plan projects, manage tasks, assign team members, and track progress
- Customer Relationship Management: Maintain client database, communication history, and transaction records
- AI-Powered Features: Automated invoice summarisation, insights, and recommendations (optional, can be disabled)
We reserve the right to modify, suspend, or discontinue any aspect of the Service with reasonable notice. Features may evolve as we improve the product. Discontinuation of the Service or material changes to core features will be communicated with at least 14 days' notice via email where practicable.
3. User Accounts and Subscriptions
3.1 Account Creation
Public tools do not require an account. To use account-based features, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the confidentiality of your password and credentials
- Accept responsibility for all activities conducted under your account
- Notify us immediately of any unauthorised access or use at support@effitrio.com
3.2 Free tier and future paid plans
Effitrio currently offers a free account tier with feature limits described in the product and your account settings. We do not currently sell paid subscriptions.
If we introduce paid plans in the future, separate checkout terms will apply. In general:
- Feature limits and allowances for each tier will be shown before purchase
- Billing, payment via Stripe, cancellation, and refunds will be governed by the terms presented at checkout and applicable law (including EU consumer withdrawal rights where they apply)
Until paid plans are offered, Sections 3.3 and 3.4 below describe how paid subscriptions will work when available.
3.3 Payment Terms (when paid plans are offered)
- Billing: Subscriptions will be billed monthly or annually as selected at signup
- Currency: Prices will be listed in Euros (EUR) unless otherwise stated, and exclude applicable taxes
- Payment Processor: Payments will be processed by Stripe. By subscribing, you authorise Stripe to charge your payment method on our behalf. We never store your full card details (see Privacy Policy)
- Failed Payments: If payment fails, we will make reasonable attempts to notify you and retry. Repeated failures may result in account downgrade or suspension after notice
- Taxes: You are responsible for any VAT, GST, or other taxes applicable in your jurisdiction
3.4 Cancellation and Refunds (when paid plans are offered)
You may cancel a paid subscription via your account settings. Upon cancellation:
- Your subscription remains active until the end of the current paid billing period
- Access reverts to free-tier features after the billing period ends
- EU/EEA consumers (statutory withdrawal): Where the EU Consumer Rights Directive 2011/83/EU applies to a paid distance contract, you may have a 14-day right to withdraw — subject to national rules and any early-supply conditions for digital content. Accepting these Terms alone does not replace any separate checkout or consent step at purchase.
- Refunds: No refunds for partial billing periods or unused time outside statutory or other non-waivable rights in your jurisdiction
3.5 Account Responsibility
You are responsible for all activities under your account and for maintaining the security of your credentials. Effitrio is not liable for any loss or damage resulting from unauthorised access caused by your failure to maintain account security.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with all applicable laws. You agree not to:
- Create fraudulent, misleading, or illegal invoices, or use the Service to defraud others
- Transmit viruses, malware, ransomware, or other harmful code
- Attempt to gain unauthorised access to the Service or related systems
- Interfere with, disrupt, or attack the Service or its infrastructure
- Use automated systems (bots, scrapers) without our explicit written permission
- Impersonate any person or entity or misrepresent your affiliation
- Collect or harvest personal information about other users without their consent
- Resell, redistribute, or sublicense the Service without authorisation
- Violate the intellectual property rights of Effitrio or third parties
- Generate, store, or transmit illegal content of any kind
- Harass, threaten, defame, or abuse other users or Effitrio staff
Violations of this Acceptable Use Policy may result in account suspension or termination. Where legally required, we will provide reasons and an opportunity to remedy the situation before termination (see Section 11).
5. Your Content and Data
5.1 Ownership
You retain full ownership of all invoices, expense records, projects, client data, and other content you create using the Service ("Your Content"). Effitrio claims no ownership over Your Content.
5.2 Licence to Effitrio
By using the Service, you grant Effitrio a limited, non-exclusive, worldwide, royalty-free licence to:
- Store and process Your Content solely to provide the Service
- Display Your Content to you and authorised workspace members
- Back up Your Content for data recovery and disaster prevention
- Use aggregated and fully anonymised data derived from Your Content for analytics and service improvement — this will never identify you or your clients
5.3 Data Processor Role
For data you enter about your clients, vendors, and business operations (client names, bank details, tax IDs, invoice records), you are the Data Controller and Effitrio is the Data Processor acting on your instructions under GDPR Article 28. See the Privacy Policy (Section 5) and contact privacy@effitrio.com to request a Data Processing Agreement (DPA).
5.4 Data Deletion
Your Content is stored in our secure database for as long as your account is active. You can delete individual records at any time via the dashboard. Upon account termination, Your Content is deleted within 30 days, except where retention is required by law (e.g., financial transaction logs retained for 7 years under German GoBD/§147 AO).
5.5 Content Responsibility
You are solely responsible for the accuracy, completeness, and legality of all content you upload or create. You represent and warrant that:
- All information you provide is accurate and truthful
- You have the legal right to process and share the data you enter, including any third-party personal data (client names, emails, etc.)
- Your use of the Service complies with all applicable laws including data protection laws
- Your invoices comply with tax laws, invoicing requirements, and regulations in your jurisdiction
Effitrio does not verify or validate the information you provide. You are responsible for ensuring compliance with all tax, legal, and regulatory requirements.
5.6 No Tax or Legal Advice
The Service is a tool for invoice generation and business management. It does not constitute tax, legal, financial, or accounting advice. Always consult a qualified professional for advice specific to your jurisdiction.
6. Intellectual Property
6.1 Service Ownership
The Service — including its design, functionality, features, software, code, templates, and all original content — is owned by Effitrio and is protected by applicable copyright, trademark, and intellectual property laws. All rights are reserved.
6.2 Limited Licence
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or business purposes. This licence does not include:
- Copying or reproducing the Service or its source code
- Modifying, altering, or creating derivative works
- Reverse engineering, decompiling, or attempting to discover source code
- Reselling, sublicensing, or redistributing the Service
- Removing or obscuring proprietary notices or labels
6.3 Feedback Licence
If you provide feedback, suggestions, or ideas about the Service, you grant Effitrio a worldwide, perpetual, royalty-free licence to incorporate that feedback into the Service without any obligation or compensation to you.
7. Service Availability and Support
7.1 Uptime
We aim to maintain high availability but do not guarantee 100% uptime. The Service may be unavailable due to:
- Scheduled maintenance (announced in advance where possible)
- Technical failures, bugs, or infrastructure issues
- Force majeure events (natural disasters, war, pandemics, severe weather)
- Security incidents or necessary emergency patches
7.2 Service changes
We continuously improve Effitrio. The Service may change over time (new features, limits, or interface updates). We do not delete your stored account data without cause, except as described in these Terms, our Privacy Policy, or when required by law. Scheduled maintenance or incidents may temporarily affect availability.
7.3 Support
Support is available via email at support@effitrio.com. We aim to respond to support requests within 5 business days; response times are not guaranteed.
8. Disclaimers and Warranties
8.1 Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
EU/EEA consumers: Mandatory statutory warranties under EU Directive 2019/770 on digital content and services apply and cannot be excluded by this clause. This disclaimer applies to the maximum extent permitted by applicable law.
8.2 No Professional Advice
The Service does not provide tax, legal, financial, or accounting advice. You are solely responsible for:
- Ensuring invoices comply with tax laws and regulations in your jurisdiction
- Verifying the accuracy of all tax calculations and invoice content
- Complying with all record-keeping and invoicing requirements
- Seeking professional advice from qualified advisors
We do not guarantee that invoices generated through the Service will meet all legal or regulatory requirements in every jurisdiction.
8.3 AI Features Disclaimer
AI-powered features (summarisation, insights, recommendations) are provided on an experimental basis. AI outputs may be inaccurate, incomplete, or misleading. Always review AI-generated content carefully before relying on it. You are solely responsible for all decisions and actions taken based on AI suggestions.
9. Limitation of Liability
9.1 Exclusions
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EFFITRIO SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, customers, or business opportunities
- Service interruptions, unavailability, or errors
- Data loss, corruption, or unauthorised access
- Inaccuracies in invoice calculations or content
- Tax, legal, or regulatory non-compliance
- Reliance on AI-generated content or suggestions
9.2 Liability Cap
Effitrio's total aggregate liability for any and all claims arising from or related to these Terms or the Service shall not exceed the greater of:
- (a) the total fees you paid to Effitrio in the 12 months preceding the claim, or
- (b) EUR 100
9.3 Mandatory Rights Preserved
German/EU law users: Nothing in this Section limits liability for:
- Death or personal injury caused by our negligence (§§ 276, 278 BGB)
- Fraudulent misrepresentation or wilful misconduct (Vorsatz)
- Gross negligence (grobe Fahrlässigkeit)
- Liability under the German Product Liability Act (ProdHaftG)
- Any other liability that cannot be excluded under applicable mandatory law
10. Indemnification
You agree to indemnify, defend, and hold harmless Effitrio, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from or related to:
- Your use of the Service in violation of these Terms
- Your violation of any applicable laws or regulations
- Your violation of third-party rights, including intellectual property or data protection rights
- Any content or data you upload or create using the Service
- Claims by third parties regarding your invoices, business practices, or data handling
EU consumers: This indemnification clause does not apply where you are acting as a consumer and the claim arises from Effitrio's own breach or negligence.
11. Account Termination
11.1 Termination by You
You may terminate your account at any time by:
- Deleting your account through your account settings
- Emailing support@effitrio.com with a termination request
Upon termination, your right to use the Service ceases immediately. Your data will be deleted within 30 days (except records retained for legal or tax compliance). No refunds are issued for remaining subscription time outside any statutory withdrawal or other rights that apply to you.
11.2 Termination by Effitrio
Effitrio may suspend or terminate your account if:
- You materially violate these Terms or any applicable laws
- You engage in fraudulent, illegal, or harmful activities
- Your account is inactive for 12 or more consecutive months
- Your payment fails and is not resolved within 7 days of notice (when a paid subscription applies)
- We are legally required to do so
Process: We will provide written notice of the reason for termination where legally permissible and required. For EU users, we will comply with platform accountability obligations under the EU Digital Services Act (DSA) where applicable, including providing a statement of reasons and access to an internal complaint mechanism.
11.3 Effect of Termination
Upon termination, all licences granted to you under these Terms terminate immediately. Provisions that by their nature should survive termination (including Sections 5.1, 6.1, 9, 10, 12) will survive.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of the Federal Republic of Germany, specifically including the German Civil Code (BGB) and applicable EU regulations, without regard to conflict of law principles.
Why German law: Effitrio is operated by a Germany-based individual. Under EU Regulation 593/2008 (Rome I), for consumer contracts with EU residents, the mandatory consumer protection provisions of the consumer's country of residence always apply regardless of any choice of law clause.
12.2 Dispute Resolution for EU/EEA Users
We strongly encourage resolving disputes through direct contact first at legal@effitrio.com. If we cannot resolve a dispute within 30 days:
- Jurisdiction: The courts of Baden-Württemberg, Germany shall have non-exclusive jurisdiction
- EU Online Dispute Resolution: EU consumers may also use the European Commission's online dispute resolution platform at https://ec.europa.eu/consumers/odr. Our contact for ODR: legal@effitrio.com
- Courts: EU consumers retain the right to bring claims before their local courts regardless of this clause
12.3 Dispute Resolution for Non-EU/EEA Users
For users outside the EU/EEA (including the United States and Canada), any dispute arising out of or relating to these Terms or the Service shall be resolved as follows:
- Good-faith negotiation between the parties (minimum 30 days), starting with notice to legal@effitrio.com.
- If still unresolved, binding individual arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures (or successor rules then in effect), in English, with a single arbitrator. The seat of arbitration shall be Stuttgart, Baden-Württemberg, Germany, unless the parties agree otherwise in writing. Judgment on the award may be entered in any court of competent jurisdiction.
Mandatory local rights: Nothing in this Section limits non-waivable rights to bring claims in the courts of your country of residence where such access cannot validly be excluded for consumers or users under the law applicable to you (for example in some Canadian provinces or other jurisdictions).
Further US-specific waivers and carve-outs are in Section 14.
13. EU and UK User Protections
The following protections apply to users in the EU, EEA, and United Kingdom and cannot be waived by these Terms:
- 14-day withdrawal right on new paid subscriptions where the EU Consumer Rights Directive 2011/83/EU applies — subject to national rules and any early-supply conditions for digital content (see Section 3.4)
- Conformity requirements for digital services under EU Directive 2019/770 — the Service must function as described
- Transparent pricing — no hidden fees; all charges disclosed before purchase
- EU Data Act rights — you have the right to switch to a competing service and we will facilitate portability of your data on request (see Privacy Policy, Section 7.1)
- DSA compliance — for account restrictions or terminations, we will provide a statement of reasons and access to a complaint mechanism
- GDPR rights — as described in full in the Privacy Policy (Section 7)
14. US Users — Specific Terms
For users in the United States:
- No class action: You waive the right to participate in any class action lawsuit related to the Service
- Individual arbitration: Disputes are resolved by individual binding arbitration under Section 12.3 (JAMS)
- No jury trial: To the extent permitted for arbitrated claims, you waive the right to a jury trial for claims related to these Terms
- Small claims court: Nothing prevents you from filing an individual claim in small claims court
- State rights: Your privacy rights under state law (CCPA, Colorado CPA, etc.) are preserved as described in the Privacy Policy (Section 8)
- "Shine the Light": California residents may exercise rights under Cal. Civil Code §1798.83 by contacting privacy@effitrio.com
15. Data Protection and Privacy
Your use of the Service is also governed by our Privacy Policy (available at www.effitrio.com/privacy), which is incorporated into these Terms by reference. Key points:
- Effitrio acts as Data Controller for your account data (name, email, usage logs)
- Effitrio acts as Data Processor for business data you enter (client records, invoices, financial data) — you are the Data Controller for this data
- EU/EEA business users may request a Data Processing Agreement (DPA) at privacy@effitrio.com (GDPR Art. 28)

By accepting these Terms, you also confirm you have read and understood the Privacy Policy.
16. Changes to These Terms
We may modify these Terms at any time. For material changes, we will:
- Send email notification to your registered email address at least 14 days before changes take effect (except where shorter notice is required by law or urgent security reasons)
- Post a prominent notice on the Effitrio website
- Update the "Last updated" date on this page
Your continued use of the Service after the effective date of changes constitutes acceptance. If you do not agree to the changes, you must stop using the Service and may delete your account.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy (www.effitrio.com/privacy) and any applicable Data Processing Agreement, constitute the entire agreement between you and Effitrio regarding the Service and supersede all prior agreements, understandings, and representations.
